InvestRoundWallet – Comprehensive Legal Policies & User Agreement

This Legal Framework constitutes a binding agreement between InvestRoundWallet (“the Platform”, “we”, “our”, or “us”) and any individual or entity accessing or using our services (“User”, “you”, or “your”). These policies are designed to ensure transparency, regulatory alignment, operational clarity, and protection of both user and platform interests.

1. Terms of Use & Platform Scope

InvestRoundWallet operates as a digital technology platform that facilitates structured interaction between registered users and independent third-party investment partners. The Platform does not directly manage investment funds unless explicitly stated and does not act as a licensed financial advisor, broker, or custodian unless separately disclosed.

By accessing this Platform, you confirm that you are at least 18 years old and legally capable of entering binding agreements under applicable law. You agree to provide accurate, current, and complete information during registration and throughout your use of the Platform.

User Responsibilities

Maintain confidentiality of login credentials and security information
Notify the Platform immediately of unauthorized access
Use services strictly for lawful purposes
Refrain from fraudulent, manipulative, or abusive conduct

We reserve the right to suspend or terminate accounts that violate these terms, engage in suspicious activity, or pose regulatory or security risks.

2. Privacy Policy & Data Governance

We collect and process personal data in accordance with applicable data protection laws, including but not limited to Kenyan data protection regulations. Data collected may include identity details, contact information, financial transaction records, IP addresses, device identifiers, and behavioral analytics.

Fraud prevention and cybersecurity monitoring
Legal and regulatory compliance
Service improvement and analytics

We implement encryption protocols, secure server infrastructure, access controls, and internal confidentiality policies to safeguard data integrity.

Users retain rights to access, rectify, restrict, or request deletion of personal data subject to regulatory obligations and legitimate business interests.

3. Comprehensive Risk Disclosure

All investment-related activities carry inherent financial risks. These risks may include but are not limited to capital loss, liquidity constraints, counterparty risk, economic volatility, regulatory changes, technological disruptions, and force majeure events.

The Platform does not guarantee profit, capital preservation, fixed returns, or performance stability. Any projections, forecasts, or analytics presented are informational only and should not be interpreted as financial advice.

      Users acknowledge that past performance does not guarantee future results. Participation in any investment opportunity is undertaken at the User’s sole discretion and financial risk.
    

Users are strongly encouraged to conduct independent due diligence and seek licensed financial advice before committing capital.

4. Investment-Only Loan Framework

Where applicable, loans facilitated through the Platform are designated strictly for investment activities available within InvestRoundWallet. Loan approval may be subject to credit assessment, compliance checks, and internal eligibility criteria.

Loan Conditions

Repayment obligations remain enforceable regardless of investment outcome
Interest rates, service charges, and penalties are disclosed prior to acceptance
Late payments may attract additional fees or recovery procedures

Diversion of funds for non-investment purposes may result in account suspension, contract termination, legal recovery proceedings, and reporting to relevant authorities where required.

5. Member Reinvestment Growth (MRG) Policy

The Member Reinvestment Growth (MRG) feature allows eligible users to automatically reinvest eligible returns into selected investment opportunities. Participation is voluntary and may be modified or discontinued by the user at any time.

Returns remain subject to standard investment risks
The Platform may adjust operational mechanics with prior notice

MRG is a facilitation tool and does not constitute a guarantee of compounding returns or enhanced profitability.

6. Limitation of Liability

To the fullest extent permitted by law, InvestRoundWallet shall not be liable for indirect, incidental, consequential, or punitive damages arising from use of the Platform, including loss of profits, data, reputation, or business opportunity.

Liability, where applicable, shall not exceed the total service fees paid by the User within the preceding six (6) months.

7. User Representations & Consent

By using this Platform, you confirm and warrant that:

You understand the operational structure of InvestRoundWallet
You accept all disclosed financial and operational risks
You will comply with all applicable laws and regulations
You consent to electronic communications and digital recordkeeping

Digital acceptance of these policies constitutes legally binding consent.

8. Dispute Resolution

Any dispute arising from the use of this Platform shall first be addressed through internal resolution procedures. Where unresolved, disputes may be referred to arbitration or competent courts within the Republic of Kenya.

9. Governing Law

These policies are governed by and construed in accordance with the laws of the Republic of Kenya. Users agree to submit to the jurisdiction of Kenyan courts where necessary.

10. Policy Amendments

The Platform reserves the right to update, amend, or revise these policies at any time to reflect regulatory changes, operational adjustments, or risk management considerations. Continued use following updates constitutes acceptance of revised terms.
